SERVICE AGREEMENT — COMNET GLOBAL, LLC
Version 2026-06-A
This Service Agreement ("Agreement") is entered into between Comnet Global, LLC, a California limited liability company located in Sacramento, California ("Company", "we"), and the undersigned client ("Client", "you"), effective as of the date signed below.
1. SERVICES. The Company will provide the services described in the package selected by the Client: "WordPress Theme Build" ($699, one-time), which includes: Custom theme designed for your brand; Works with the WordPress block editor; Mobile-first & speed optimized; SEO-clean markup & schema; Security hardening; 1-hour training session; 30 days of free support.
2. PAYMENT. Fees are payable in advance via our secure payment processor (Stripe). One-time packages are due in full at checkout. Recurring plans renew automatically each billing period until cancelled.
3. CLIENT RESPONSIBILITIES. The Client agrees to provide accurate information, necessary content and credentials, and timely approvals. Delays caused by missing Client materials extend delivery timelines accordingly and do not constitute Company breach.
4. REVISIONS & SCOPE. Work is limited to what the selected package describes. The included revision rounds (where applicable) cover refinements of delivered work, not new scope. Additional work may be quoted separately. Either party may request a written change order.
5. INTELLECTUAL PROPERTY. Upon full payment, the Client owns the final delivered website design, content created specifically for the Client, and the Client's own materials. The Company retains the right to use non-confidential work in its portfolio and may use open-source and licensed third-party components under their respective licenses.
6. HOSTING & THIRD PARTIES. Hosting services target 99.9% uptime but are provided on infrastructure where occasional maintenance or outages may occur; service credits, where applicable, are the exclusive remedy. Domains, payment processing, and other third-party services are governed by their providers' terms.
7. NO GUARANTEE OF RESULTS. The Company will perform services with professional skill and care. Search-engine rankings, traffic, and revenue depend on factors outside the Company's control and are not guaranteed.
8. REFUNDS. One-time design packages: the initial consultation and brief are refundable in full within 7 days if no design work has begun; once work begins, fees for completed milestones are non-refundable. Recurring plans: cancel anytime effective at the end of the current billing period; no partial-month refunds.
9. CONFIDENTIALITY. Each party will keep the other's non-public business information confidential and use it only to perform this Agreement.
10. WARRANTY DISCLAIMER & LIMITATION OF LIABILITY. EXCEPT AS EXPRESSLY STATED, SERVICES ARE PROVIDED "AS IS". TO THE MAXIMUM EXTENT PERMITTED BY CALIFORNIA LAW, THE COMPANY'S TOTAL LIABILITY UNDER THIS AGREEMENT IS LIMITED TO THE AMOUNTS PAID BY THE CLIENT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, AND NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES.
11. TERMINATION. Either party may terminate for material breach not cured within 14 days of written notice. Upon termination, the Client pays for work performed to date, and the Company will provide the Client's data in a standard export format upon request within 30 days.
12. GOVERNING LAW & DISPUTES. This Agreement is governed by the laws of the State of California. The parties will first attempt good-faith informal resolution; unresolved disputes shall be resolved in the state or federal courts located in Sacramento County, California, and each party consents to their jurisdiction.
13. ELECTRONIC SIGNATURE. The parties agree to conduct this transaction electronically under the federal ESIGN Act and the California Uniform Electronic Transactions Act (Cal. Civ. Code § 1633.1 et seq.). Typing your full legal name below and checking the consent box constitutes your binding electronic signature, with the same force as a handwritten signature. A copy of this signed Agreement will be emailed to you and retained in our records with a timestamp, IP address, and document integrity hash.
14. ENTIRE AGREEMENT. This Agreement, together with the package description and our Terms of Service and Privacy Policy, is the entire agreement and supersedes prior discussions. If any provision is unenforceable, the remainder stays in effect.
